1. Introduction

These Terms and Conditions ("Terms") govern your use of the Gibrisch Inc. website (www.gibrisch.com) and our event production and coordination services (collectively, the "Services"). By accessing our website, requesting a quote, signing a service agreement, or engaging us for event services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our website or services.

Gibrisch Inc. ("Company," "we," "us," "our") is a premium event production and experience agency based in New York. These Terms establish the rights and responsibilities of both Gibrisch and our clients.

2. Definitions

For purposes of these Terms:

"Website" refers to www.gibrisch.com and all related pages, features, and content.

"Services" refers to all event production, planning, coordination, and experience services offered by Gibrisch, including but not limited to: corporate conferences, product launches, gala evenings, brand activations, private celebrations, and live productions.

"Event" refers to the specific event for which you have engaged our Services, including all planning, production, execution, and related activities.

"User" or "Client" refers to any individual, company, or organization that accesses our website, requests our services, or enters into an agreement with Gibrisch.

"Content" refers to all text, images, graphics, videos, audio, logos, and other materials on our website.

"Service Agreement" refers to the signed contract between Client and Gibrisch specifying the scope, terms, pricing, and conditions of the Services.

"Proposal" refers to a detailed quote or proposal provided by Gibrisch outlining the scope and pricing of proposed Services.

"Parties" refers collectively to Gibrisch and the Client.

3. Use of Our Website

3.1 Lawful Use

You agree to use our website and services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behavior includes:

  • Harassing or causing distress or inconvenience to any person
  • Transmitting viruses, malicious code, or disruptive materials
  • Attempting to gain unauthorized access to our systems
  • Disrupting the normal flow of dialogue within our website
  • Impersonating or misrepresenting your identity
  • Soliciting passwords or personal information from others

  • Complying with all applicable laws and regulations

4. Services and Pricing

4.1 Service Availability

  • Gibrisch offers event production services subject to our availability and capacity
  • We reserve the right to decline any service request at our discretion
  • Availability is confirmed only upon execution of a Service Agreement
  • All services are provided on a project basis, not on an ongoing retainer unless specifically agreed

4.2 Quoted Prices

  • All prices provided in proposals are valid for 30 days from the date of proposal unless otherwise stated
  • Prices are based on the scope of services and specifications detailed in the proposal
  • Prices are in US dollars unless otherwise specified
  • Changes to scope, specifications, or requirements may result in price adjustments
  • Final pricing is confirmed in the executed Service Agreement

4.3 Pricing Terms

  • A non-refundable deposit (typically 30-50% of total cost) is required to secure your event date
  • Payment is typically divided into installments: deposit upon booking, mid-project payment (60 days before event), and final payment (14 days before event)
  • All fees are exclusive of applicable taxes and government fees
  • Taxes, permits, and licensing fees required for your event are the responsibility of the Client unless explicitly stated otherwise in the Service Agreement
  • Late payments may result in service suspension or cancellation

4.4 Additional Costs

Clients are responsible for:

  • Venue rental and location costs
  • Catering and refreshments (unless explicitly included)
  • Entertainment, talent, and performer fees
  • Third-party vendor costs (florists, decorators, caterers, entertainment)
  • Permits, licenses, and insurance required for the event
  • Travel and accommodation for crew and specialists (if event is off-site)
  • Any add-ons or changes requested during planning or execution

4.5 Price Adjustments

  • If significant time passes between proposal and execution, pricing may be subject to market adjustments
  • Changes to event scope, date, or specifications may require price renegotiation
  • Additional services requested during planning or execution will be quoted separately

5. Intellectual Property

5.1 Website Content

All content on our website—including text, graphics, logos, images, videos, and other materials—is the exclusive property of Gibrisch Inc. or licensed from third parties. All rights are reserved. You may not:

  • Copy or reproduce our content without written permission
  • Use our content for commercial purposes
  • Create derivative works based on our content
  • Remove proprietary notices or markings
  • Display our content on other websites or applications

5.2 Trademarks

"Gibrisch" and related logos are trademarks of Gibrisch Inc. Unauthorized use of our trademarks is prohibited. You may not use our trademarks without written permission.

5.3 Client Event Materials

  • Client retains ownership of any creative direction, briefs, or materials provided to Gibrisch
  • Gibrisch retains ownership of creative designs, concepts, and production materials developed specifically for the Event
  • Gibrisch may use event concepts, case studies, and anonymized elements for portfolio and marketing purposes unless Client objects
  • Photography and videography of the Event may be used for Gibrisch' portfolio and marketing purposes unless otherwise agreed

5.4 Licensed Materials

  • Music, images, and other third-party licensed materials are licensed for use in the specific Event only
  • Licenses may restrict distribution, recording, or commercial use
  • Client is responsible for obtaining necessary licenses for any Client-provided materials

5.5 Work Product

Any design concepts, creative ideas, proposals, or work product developed by Gibrisch remain our intellectual property unless a separate agreement specifies otherwise. You may use the finished Event services but may not repurpose, modify, or commercialize our concepts.

6. User Content and Submissions

6.1 Your Content

You may submit content to Gibrisch, including event briefs, ideas, creative direction, photos, and other materials ("User Content"). By submitting User Content, you grant Gibrisch:

  • A non-exclusive, royalty-free license to use your content for the purposes of providing Services
  • The right to share your content with service providers and vendors as necessary
  • The right to incorporate your ideas and direction into the Event

6.2 Testimonials and Case Studies

With your permission, we may use your name, company name, testimonials, and event information in case studies, testimonials, and marketing materials. You may revoke this permission at any time by written notice.

6.3 Confidential Information

If you designate information as confidential, we will maintain reasonable confidentiality standards unless:

  • Disclosure is required by law
  • Disclosure is necessary to provide Services
  • Information is shared with vendors and service providers under confidentiality agreements
  • Information becomes publicly available through no fault of our own

7. Third-Party Links

Our website may contain links to third-party websites. We do not:

  • Endorse or approve third-party websites or content
  • Assume responsibility for third-party content or services
  • Control third-party website policies or practices
  • Warrant the accuracy or quality of third-party offerings

Your use of third-party websites is governed by their terms and policies. We recommend reviewing third-party terms before engaging their services.

8. Disclaimer of Warranties

8.1 "As Is" and "As Available" Basis

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind. We disclaim all representations and warranties, express or implied, including:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement or third-party rights
  • Warranties regarding accuracy, completeness, or currentness of content
  • Warranties regarding availability or uninterrupted service
  • Warranties regarding security or freedom from malware

8.2 Event Force Majeure

While we commit to delivering exceptional events, we are not responsible for circumstances beyond our reasonable control, including:

  • Natural disasters, extreme weather, earthquakes, or acts of God
  • Government actions, wars, terrorism, or civil unrest
  • Pandemic or epidemic restrictions
  • Venue unavailability or cancellation
  • Key vendor failure or inability to perform
  • Utility failures or natural disasters
  • Labor strikes or workforce unavailability
  • Circumstances arising from Client's actions or negligence

In such cases, we will make reasonable efforts to mitigate impact and provide alternative solutions. If the Event cannot proceed, we will provide credits toward rescheduling or refunds as permitted by law.

8.3 No Guarantee of Results

We cannot guarantee specific attendance, media coverage, engagement metrics, or business results. Event success depends on numerous factors beyond our control, including:

  • Attendee behavior and participation
  • Market conditions and external factors
  • Client execution of pre-event promotion
  • Third-party actions

8.4 Third-Party Performance

We are not responsible for vendor performance, quality of third-party services, or contractor behavior. While we carefully vet vendors, we cannot guarantee their performance or be liable for their actions.

9. Limitation of Liability

9.1 Cap on Liability

To the maximum extent permitted by law, Gibrisch' total liability to Client for any claims arising from these Terms, our services, or your use of our website shall not exceed:

  • The total amount paid by Client to Gibrisch in the 12 months preceding the claim, or
  • $50,000, whichever is less

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) or whether we have been advised of the possibility of damages.

9.2 Excluded Damages

Gibrisch shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, lost revenue, or lost business opportunities
  • Lost data, information loss, or corruption
  • Reputational harm or emotional distress
  • Business interruption or lost productivity
  • Damages resulting from Client's modifications or use of services

9.3 Basis of Limitation

These limitations exist because:

  • We cannot control all factors affecting your event's success
  • Many outcomes depend on factors beyond our control
  • The limitation reflects the allocation of risk in our commercial arrangements
  • These limitations are reasonable given the nature of event services

9.4 No Waiver

If any limitation is found unenforceable, the remaining limitations shall apply to the maximum extent permitted by law.

10. Indemnification

10.1 Client Indemnification

Client agrees to indemnify, defend, and hold harmless Gibrisch and our officers, employees, agents, and representatives from and against any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from or related to:

  • Client's breach of these Terms or the Service Agreement
  • Client's use of our services or website
  • Client's violation of applicable laws or third-party rights
  • Client-provided materials or content
  • Client's negligence or willful misconduct
  • Claims by attendees or third parties related to the Event
  • Injury or death caused by Client's actions
  • Property damage resulting from Client's conduct

10.2 Gibrisch Indemnification

Gibrisch agrees to indemnify Client from third-party claims that our services infringe upon intellectual property rights, provided that:

  • Client promptly notifies us of the claim
  • Client grants us sole control of defense and settlement
  • Client provides reasonable cooperation
  • Infringement does not result from Client's modifications or misuse

11. Termination

11.1 Cancellation by Client

Cancellation terms:

  • More than 120 days before Event: 30% cancellation fee (return of remaining deposit)
  • 60-120 days before Event: 50% cancellation fee
  • 30-60 days before Event: 75% cancellation fee
  • Less than 30 days before Event: 100% non-refundable (all payments retained)

11.2 Postponement by Client

  • Events may be postponed once by Client without additional fees (if original date is released)
  • If original date is held, postponement fees equal cancellation fees
  • Postponements must be requested at least 60 days before the Event

11.3 Termination by Gibrisch

Gibrisch may terminate the Service Agreement if:

  • Client materially breaches the Agreement and fails to cure within 10 days of written notice
  • Client fails to pay required deposits or installments by due date
  • Event cannot legally or safely be produced
  • Circumstances prevent service delivery (force majeure)
  • Client demands services that are illegal, unethical, or harmful

11.4 Effect of Termination

Upon termination:

  • Client remains responsible for all incurred costs and vendor commitments
  • Payments already made are non-refundable except as permitted by law
  • Both parties' confidentiality obligations continue
  • Intellectual property ownership remains as specified in these Terms

12. Governing Law

These Terms and the Service Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in New York County, New York for any legal proceedings arising from these Terms.

13. Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal, the remaining provisions shall continue in full effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent.

14. Changes to These Terms

14.1 Modification

We may update these Terms from time to time. Changes become effective upon posting to our website. Your continued use of our services following changes constitutes acceptance of the updated Terms.

14.2 Notice of Changes

For material changes, we will provide notice by:

  • Posting the updated Terms on our website
  • Sending email notice to registered clients
  • Updating the "Last Modified" date

14.3 Service Agreements

Changes to the Terms do not affect Service Agreements executed before the change. Agreements contain their own governing terms.

These Terms and Conditions constitute the entire agreement between Client and Gibrisch regarding our services. Any prior agreements, discussions, or understandings are superseded by these Terms.
